Mergers & Acquisitions
The firm carries out mergers and acquisitions or reorganisations of both small-scale and large-scale firms or companies, whether in the form of business or business assets divestiture, or in the form of shares or units sale, or in the form of reorganisation (mergers, spin-offs, etc). The firm drafts the agreement for the sale or purchase of the enterprise or the company’s shares or units, the agreement comprising all the customary clauses, particularly in terms of the guarantees to be provided by the vendor. The firm also drafts the required reports in case of spin-offs or mergers and submits the applications to the Office for Advance Tax Rulings, in order to ensure tax neutrality of these reorganisations.
